Ownership Structure
  1. Innovators, together with Arnot Affected Employees Trust (“AET”), are shareholders in Arnot InvestCo (“InvestCo”), thereby representing the interest of all former employees of Arnot Mine via InvestCo – InvestCo holds 50% interest in Arnot HoldCo (“HoldCo”)
  2. Wescoal, through its mining division (“Wescoal Mining”), holds an equity interest of 50% in HoldCo alongside InvestCo
  3. Arnot Qualifying Employee Trust and Arnot Community Trust (the “Trusts”) have been created to benefit qualifying employees and communities at Arnot Mine, which further ensures ownership structure compliance with the South African Mining Charter
  4. Accordingly, Arnot HoldCo, together with the Trusts own Arnot OpCo, which in turn owns and operates the Arnot Mine
